1. Definitions

1.1 “Software” means the GoodMem binary executables, runtime libraries, configuration files, schemas, and any associated materials provided by PAIR Systems, Inc. (“PAIR”), excluding source code unless explicitly provided.

1.2 “You” or “Licensee” means any individual or legal entity exercising rights under this License.

1.3 “Commercial Use” means using the Software in your internal business operations or in products or services you provide to third parties, other than offering the Software itself as a standalone hosted or managed GoodMem service.

1.4 “Documentation” means written or electronic information provided by PAIR relating to the Software.

2. License Grant

Subject to your compliance with this License, PAIR grants you a non-exclusive, worldwide, perpetual, non-transferable, non-sublicensable license, revocable only as provided in Section 7, to:

  1. download, install, and use the unmodified Software,
  2. use the Software for internal purposes, including Commercial Use, and
  3. redistribute the Software solely as embedded or incorporated into your own applications, systems, containers, or virtual machine images, as described in Section 3.1.

For the avoidance of doubt, this License does not grant you any rights in or to the Software's source code.

No right is granted to create derivative works of the Software except as required by applicable law.

3. Restrictions

3.1 Redistribution

You may redistribute the Software only as follows:

Embedded Distribution. You may redistribute the Software as embedded or incorporated into:

  • your own applications or services,
  • installation packages, containers, or virtual machine images, or
  • internal tools and systems,

provided that:

  1. the Software is not presented or marketed as a standalone GoodMem product,
  2. your end users cannot reasonably treat the Software as a general-purpose GoodMem or vector-search service independent of your application, and
  3. you bind your end users by terms no less protective of PAIR's rights than this License.

No Standalone Distribution. You may not redistribute the Software as a standalone product (e.g., providing GoodMem binaries “as GoodMem” for others to install or host directly) without a separate written agreement with PAIR.

3.2 No Managed GoodMem Service

You may not offer the Software itself as a hosted, managed, or white-labeled GoodMem service, or as a general-purpose multi-tenant vector database, memory, or retrieval service.

For the avoidance of doubt: Using the Software as an internal component of your own SaaS, platform, or multi-tenant application — where your customers interact with your product and not with GoodMem as a standalone service — is permitted under this License.

3.3 Reverse Engineering

You may not reverse engineer, decompile, or disassemble the Software except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction, and then only after providing prior written notice to PAIR.

3.4 No Unauthorized Modifications

You may not modify, translate, or create derivative works of the Software, except to the limited extent required by applicable law.

This does not prohibit:

  • configuration changes,
  • operational wrappers or orchestration scripts,
  • deployment, scaling, or monitoring integrations, or
  • other non-invasive measures that do not alter the Software binary itself.

3.5 No Circumvention of Protections

You may not circumvent or disable any technical mechanisms designed to enforce licensing, security, or integrity of the Software, except to the extent such restriction is unenforceable under applicable law.

3.6 Preservation of Notices

You may not remove, alter, or obscure any proprietary notices, trademarks, or attribution displayed by or included in the Software or Documentation.

4. Ownership

The Software is licensed, not sold.

PAIR retains all right, title, and interest in and to:

  • the Software,
  • all associated intellectual property,
  • all upgrades, improvements, and derivative works, and
  • all related branding and Documentation.

No rights are granted except as expressly stated in this License.

5. Updates and Support

PAIR may, at its sole discretion, provide updates, patches, or new versions of the Software.

You are not obligated to install or use any update.

You may continue to use any version of the Software that you validly obtained under this License, under the terms of this License, even if PAIR later releases new versions under different terms.

Use of any new version that explicitly ships under a different license will be governed by that other license.

Nothing in this License entitles you to support, maintenance, updates, or future releases.

6. Confidentiality and Benchmarking

6.1 Confidential Information

"Confidential Information" means non-public information disclosed by PAIR in written, oral, or other tangible form and marked or otherwise reasonably understood to be confidential (e.g., internal roadmaps, non-public protocols, proprietary implementation details).

You must protect Confidential Information using reasonable measures and use it only as necessary to exercise your rights under this License.

6.2 Benchmarking

You are free to measure and publish performance data and benchmarks of the Software, provided that:

  • you do not disclose PAIR's non-public source code or internal implementation details; and
  • you do not knowingly publish false or misleading performance claims.

PAIR may itself publish or respond to benchmarks.

7. Term and Termination

7.1 Term

This License remains in effect for as long as you use the Software, unless terminated as set forth below.

7.2 Termination for Breach

PAIR may terminate this License if you materially breach its terms and fail to cure the breach within thirty (30) days after receiving written notice.

7.3 Effect of Termination

Upon termination:

  • the rights granted to you under this License immediately cease;
  • you must stop using the Software; and
  • you must destroy all copies of the Software in your possession or control and, upon request, certify such destruction.

7.4 Survival

Sections 4 (Ownership), 6 (Confidentiality and Benchmarking), 8 (No Warranty), 9 (Limitation of Liability), 10 (Compliance and Export Controls), and 12 (Entire Agreement) survive termination.

For clarity, termination under this Section 7 does not affect your rights to use any other software or data that does not contain the Software.

8. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

PAIR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR SUITABLE FOR ANY SPECIFIC PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PAIR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND
  • PAIR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS LICENSE OR THE SOFTWARE SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50).

These limitations apply even if PAIR has been advised of the possibility of such damages.

Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the above limitations apply to the fullest extent permitted by law.

10. Compliance and Export Controls

You must comply with all applicable laws and regulations, including:

  • U.S. and international export control and sanctions laws,
  • restrictions on use in nuclear, missile, or weapons-related activities, and
  • prohibitions on use by embargoed or restricted entities.

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargo or sanctions.

11. Feedback

Any feedback, ideas, or suggestions you provide regarding the Software may be used by PAIR for any purpose, without restriction or obligation to you. You hereby assign to PAIR all right, title, and interest in such feedback to the maximum extent permitted by law.

12. Governing Law and Venue

This License is governed by the laws of the State of Delaware, excluding its conflict-of-laws principles.

Any disputes arising out of or in connection with this License shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.

13. Entire Agreement

This License constitutes the entire agreement between you and PAIR regarding the Software and supersedes all prior or contemporaneous agreements, understandings, or representations relating to its subject matter.

If any provision of this License is held unenforceable, the remaining provisions will remain in full force and effect.
